Terms of Use – CNIL Registration N°1410559

The processing of Users’ personal data, as described in the present Terms of Use, has been registered with the Commission Nationale de l’Informatique et des Libertés (CNIL, French data protection authority) www.cnil.fr.

1/ Intellectual Property Rights:

1.1 www.wethetalent.co (hereinafter referred to as the “Website”) and its linguistic variations constitute the wholly and exclusively owned property of:

TALENTSOFT, a limited liability company with a share capital of 2,456,312 euros (€), registered at the Nanterre Trade and Companies Register under number 497 941 377, intra-Community VAT number FR87497941377, and registered office at 8 Rue Heyrault – 92100 Boulogne Billancourt, France.

TALENTSOFT, as Publisher of the Website, grants any person consulting the Website (hereinafter referred to as the “User”) a private, non-collective, and non-exclusive right to use said content.

1.2 All data of whatever kind, and namely texts, graphs, logos, icons, images, audio and video clips, trademarks, software and features of the TALENTSOFT website, appearing on the Website and on its various versions, are protected by copyright, trademark rights, and all other intellectual property rights, and belong to the TALENTSOFT company or to third parties granted authorisation by TALENTSOFT to use them.

1.3 Under these Terms of Use, the User agrees and undertakes not to reproduce, summarize, modify, alter or redistribute, without prior express authorisation of the Publisher, any text, title, application, software, logo, image, video, corporate identity, trademark, information or illustration, for any other use other than a strictly personal one. Any other form of representation (e.g. for professional or commercial purposes or for redistribution in quantity) without prior express authorisation constitutes a forgery.

1.4 Similarly, the User undertakes not to copy all or part of the Website to any other website and/or to an internal company network. The User particularly agrees and undertakes not to extract all or part of the Website for the purpose of importing and storing the content and the database.

1.5 Any creation of a hypertext link from a website redirecting to the TALENTSOFT Website must obtain the prior and express authorisation of the TALENTSOFT company, authorisation which the TALENTSOFT company may withdraw at any time, without having to justify its decision to withdraw. Third-party websites are not under the control of TALENTSOFT, which is in no way responsible for the content of these websites, the links they contain, or the changes or updates which are made to them. TALENTSOFT provides these links for convenience or informational purposes and the inclusion of any link does not imply prior approval of the website by TALENTSOFT. The risks linked to the use of these websites are the full responsibility of the User, who shall comply with their terms of use.

3/ Access and Availability

3.1 By accessing, browsing, or using the Website, the User agrees to comply with the Terms of Use.

3.2 Access to the Website is free and is provided on a continuous and permanent basis, except in case of force majeure or events beyond the control of TALENTSOFT, and subject to possible technical failures and interventions, maintenance, and necessary updates required to ensure the proper functioning of the Website.

3.3 TALENTSOFT, and all third parties involved in the creation of the Website, provide no explicit or implicit warranty, and assume no responsibility regarding the use of the Website. Therefore, they cannot be liable to a User of another party, for direct of indirect, special, particular or accessory damages stemming from the use of this Website or another website linked by a hyperlink.

3.4 The User is solely responsible of their computer equipment. The User is responsible for taking all the necessary measures to protect its equipment, including any form of contamination by viruses, malware, worms, logical bombs, trojan horses, or any other element of code, file, program, script and/or malicious or harmful agent.

3.5 The User may view and post comments on the Website (hereinafter referred to as “Comments”). For each published Comment, the User will be asked to provide their name or username, as well as their email address.

3.6 The User may submit an article (hereinafter referred to as “Articles”) to TALENTSOFT for it to be published on the website. Users agree to submit useful Articles, dealing with subjects dealt by the Website. For each Article proposal submitted to TALENTSOFT, the User will be asked to provide their first name, last name, email address, and a short professional bio. The User may also specify, at their own discretion, their job title, the name of the company they work for, and their social media contact information.

3.7 If the User is a minor, parents and any person exercising parental authority are reminded that it is their responsibility to ensure the proper use of the Website and its content.

4/ Content of Comments and Articles

4.1 The User is responsible for the content of the Comments that they publish on the Website. The User agrees and undertakes to not publish Comments or submit Articles for publication that are offensive, defamatory, racists, xenophobic, pornographic, of child pornographic nature, inciting explicitly or implicitly to make illicit remarks, and more generally, any content contrary to applicable law, public order and morality.

4.2 The User agrees and undertakes not to publish commercial proposals, advertisements, or promotions for any products and/or services that were not previously authorized by TALENTSOFT.

4.3 The User agrees and undertakes not to publish any Comments or to submit Articles for publication which may contain personal data or which violate privacy laws, image rights, or the intellectual property rights of third parties, natural or legal persons. TALENTSOFT shall not be liable for any infringement by the User of the image or intellectual property rights of such third parties. The User agrees to compensate TALENTSOFT for all costs, charges, and expenses that the latter would incur as a result of this infringement.

4.4 The User’s liability may be directly incurred if they spread, by any means, viruses, malware, worms, logical bombs, trojan horses or any other element of code, file, program, script and/or malicious agents, which may damage the Website, slow it down, or more generally, interfere with its proper functioning.

4.5 In accordance with French Law No. 2004-575 of 21 June 2004 regarding Confidence in the Digital Economy (hereinafter referred to as “LCEN”), TALENTSOFT does not perform any prior verification of Comments. TALENTSOFT will carry out a retrospective verification of the Comments and as such reserves the right, in its sole discretion, without notice, to delete all the Comments which violate current legislation or the present Terms of Use.

4.6 Users are encouraged to notify TALENTSOFT of any content that is illegal or in violation of the Terms of Use. TALENTSOFT agrees and undertakes, promptly upon receipt of such notification, to verify said content and to withdraw it, if necessary. TALENTSOFT cannot be presumed to have had knowledge of the illegality of the content or its failure to comply with these Terms of Use.

4.7 In accordance with the LCEN and French Law No. 82-652 of 29 July 1982 on Audiovisual Communication, TALENTSOFT performs a prior verification of Articles and their content. TALENTSOFT reserves the right, in its sole discretion and without prior notice, to reject or publish Articles submitted by the User.

4.8 When the User decides to publish content on the Website, particularly a Comment or an Article, the User hereby expressly disclaims any pecuniary claim for such content, its creation, or its dissemination.

5/ Website Content

5.1 All the information available on the Website relating to the services of TALENTSOFT, as made available to the User by TALENTSOFT, is based on the technical characteristics of these services at the time they were made available online or updated. The information contained on the Website is of a general and descriptive nature. It cannot be considered as having contractual value nor does it constitute a firm offer from TALENTSOFT.

5.2 TALENTSOFT shall publish and maintain the Comments and Articles on the Website, provided that they comply with the applicable law and the Terms of Use.

6/ Confidentiality, Personal Data, and Cookies:

6.1 Personal data

6.1.1 In accordance with the provisions of the applicable regulations as well as those of French Law No. 78-17 of 6 January 1978 on Information Technology, Data Files and Civil Liberties (hereinafter referred to as “Law”), the Website has been duly registered with the CNIL (French data protection authority). TALENTSOFT respects the freedom of any individual visiting the Website. This clause (6) describes the data that TALENTSOFT is likely to collect, as well as the purposes for which said data may be used.

6.1.2 TALENTSOFT will only use the data that the User has provided voluntarily (i.e. first names, last names, telephone numbers, email addresses, etc.). Upon providing such personal data, the User will be asked to expressly consent to the processing of their personal data. However, certain data may be required by TALENTSOFT so that it can process the User’s requests, particularly when requesting information or to publish a Comment.

This data will be used for computerized processing and will be stored in a database for communication purposes, and for the entire duration of such communication.

Users are entitled to object, (art. 38 of the Law), access (art. 39, 41, and 42 of the Law), rectify (art. 40 of the Law), and delete any data relating to them. Thus, Users can demand that the data relating to them be rectified, completed, clarified, updated, or deleted if they are inexact, incomplete, ambiguous, expired, or if their collection, use, communication, or conservation are prohibited.

To exercise their rights or to make any other request concerning their personal data, the User must contact the Webmaster via the contact form available on the portal or directly via email at the following address: hello@wethetalent.co.

6.1.3 User’s nominative and non-nominative personal data, collected via the Website, and all future data, are only intended for the exclusive use of TALENTSOFT and affiliated companies in accordance with the provisions of Article L233-3 of the French Commercial Code, and only in the context of the implementation of the services offered to the Users on the Website.

This nominative and non-nominative data is never communicated or transferred to a third party other than the technical providers in charge of managing the Website, and its partners, which are required to respect data confidentiality and to only use them for very precise operations under the direct control of TALENTSOFT.

6.1.4 TALENTSOFT takes the appropriate technical, organisational, and security measures against all unauthorised access to or unauthorised alteration, disclosure, destruction, or loss of the User’s personal data.

6.2 Cookies

Furthermore, non-nominative data concerns the Web Browser used by the User, the system used by their computer, and the name of the domain by which the User arrived on the Website. TALENTSOFT may store this data directly on the User’s hard drive as a “Cookie” when visiting the Website. A cookie records information about the User’s navigation on the Website (pages that were visited, the date and time of the consultation, etc.). This cookie is stored on the User’s computer for a maximum of seven months. Cookies enable the Publisher to offer a tailor-made Website or advertising that corresponds to the User’s specific expectations and preferences. The User is notified of the use of cookies and may choose to disable cookies by changing their settings. Web Browsers allow Users to delete cookies from their hard drive, disable them, block them entirely, or receive a warning before accepting them.

User data will also be used to strengthen and personalize communication with the User, particularly newsletters drafted by TALENTSOFT, to which users may subscribe.

7.2 The www.wethetalent.co Website and its linguistic variations, as well as the structure and the services offered within it, are subject to modifications and changes without notice of any kind.

7.3 TALENTSOFT reserves the right to unilaterally modify its Terms of Use. The new clauses will govern all future relations between the Parties, and only the latest online version will be effective between them.

7.4 Should one of the provisions of these Terms of Use be deemed void by virtue of any current or future legal or regulatory provision or a legal ruling by the courts carrying the authority for the matter judged and emanating from a competent jurisdiction or authority, this provision of the agreement would then be deemed to be unwritten, whereas any or all other provisions of these Terms of Use remaining between the Parties would retain their mandatory force.

7.5 The TALENTSOFT Website and these Terms of Use are subject to French law, both in terms of basic rules and for the rules governing their form.

7.6 These Terms of Use have been translated from French. In case of disputes due to linguistic discrepancies, only the French version of the Terms of Use shall prevail over the others.

7.7 In the event of a dispute relating to the interpretation or execution of these Terms of Use, the Parties agree to initially seek an amicable solution before submitting their case to the competent French court.
